Company Taken Over

Effective November 19, 2014, Healthlease Properties REIT was acquired by Health Care REIT for total cash consideration of $14.20 per unit. The cash consideration paid as distributions consisted of Other Income (being an amount of $0.06968 per unit) and Capital Gains (being an amount of $3.74237 per unit). The balance of the cash consideration paid for such units (being an amount of $10.38795 per unit) represents proceeds of disposition from the redemption of such units and a direct acquisition of such units from HCN, which will be reported separately on T5008 slips issued on behalf of Healthlease in respect of the HCN transaction.
