Conversion to Corporation

Effective April 15, 2009, Hartco Income Fund converted to a corporation named Hartco Inc. on a one for one basis. Since the conversion was deemed to be a tax deferred rollover, and since 100% of the fund's distributions were classified as return of capital, an ACB calculation must be performed upon dispositions of Hartco Inc.
