Subscription Receipts

On August 22, 2006, Duke Energy issued subscription receipts at a price of $12.50 per receipt. These receipts were exchangable into units of Duke Energy Income Fund prior to September 29, 2006 on a one for one basis. Only one distribution was paid to the receipt holders, and it was identical to the distribution paid to the unitholders of Duke Energy Income Fund ($0.067 per unit), except that the ROC (return of capital) was $0.01270 instead of $0.05909. If the holding of Duke Energy Income Fund was a result of purchasing the Receipts in August of 2006, then a manual adjustment of the ROC for the distribution with record date 8/31/06 and payable date of 9/29/06 will be necessary.
